Consent & Data Logging: By accessing, registering for, or utilizing our distribution network and associated services (including checking the terms agreement box at checkout), you ("User", "Client") confirm that you accept these Terms of Service in their entirety and agree to comply with them. We securely log IP addresses and timestamps of this consent for strict legal compliance and dispute resolution purposes. If you do not agree to these terms, you must not use our Site or Services.

1.3. We reserve the absolute right to revise and amend these Terms of Service at any time to reflect changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant UK laws and regulatory requirements, and changes in our system's capabilities.

2. Provision of Services & Delivery Scope

2.1. RED PRESS WIRE LTD provides an enterprise-grade digital press release syndication and distribution platform. Our primary service involves the facilitation of publishing client-submitted editorial content across our proprietary and third-party media network.

2.2. Delivery Timeframes: Standard editorial review and distribution processes operate on an estimated timeframe of 24 to 72 business hours. These timeframes are indicative. We shall not be held liable for delays resulting from extended editorial scrutiny by downstream publishers, network outages, or events constituting Force Majeure. Additionally, as our partnered third-party media outlets may occasionally undergo maintenance, publication delays of up to 30 days may occur in certain instances.

2.3. What We Guarantee — and What We Do Not: We guarantee that your press release will achieve the minimum number of media placements specified in your purchased package (e.g., 200+, 400+ placements). We do not guarantee publication on any specific, individually named outlet. Every outlet in our network is editorially independent: its editors apply their own editorial standards, formatting requirements and approval processes, and will decline any submission that does not meet them — at their sole discretion and without obligation to state a reason. A decision by an outlet's editors not to publish your release is a normal part of editorial distribution, is outside our control, is not a failure of our service, and is not grounds for a refund or compensation claim. Our commitment is, and is limited to, fulfilling the total quantitative placement count across our syndication network.

2.4. Fulfilled-on-Publication Service & Non-Refundable Acknowledgment: Press release distribution is a fulfilled-on-publication digital service. Our labour, editorial capacity, network slots and third-party costs are irreversibly committed to your order the moment it is submitted. Accordingly, all fees are final and non-refundable once an order is submitted, as comprehensively detailed in our Refund & Cancellation Policy. By confirming your order at checkout you expressly request that we begin performance immediately and acknowledge that you thereby lose any right to cancel. Where a material distribution failure occurs and we cannot remediate it within a reasonable period, your sole and exclusive remedy is a re-run of the distribution or a service credit toward a future order, granted at our reasonable discretion — never a monetary refund.

2.5. Network Composition & Editorial Independence: RED PRESS WIRE LTD commits to fulfilling the total minimum number of placements specified in the purchased package. However, publication of content on any specific individual outlet listed in our network is not guaranteed. Each outlet independently enforces its own editorial guidelines, formatting standards, and approval processes, and may reject content at its sole discretion. Furthermore, our network of publication outlets is not static; it is regularly updated by RED PRESS WIRE LTD, with outlets being added, removed, or modified over time. Any change to publication coverage resulting from such network updates or editorial decisions shall not constitute grounds for a refund or compensation claim.

3. Content Standards & Editorial Restraints

3.1. As a corporate entity operating under UK jurisdiction, we maintain a zero-tolerance policy towards illicit, defamatory, or misleading content. All submitted press releases are subjected to rigorous editorial compliance checks.

3.2. You warrant that any content submitted:

• Is strictly factual, accurate, and represents verifiable corporate news.
• Does not infringe upon the intellectual property rights, copyrights, or trademarks of any third party.
• Does not contain defamatory, libelous, obscene, threatening, or abusive material.
• Does not promote unlawful acts, unregulated financial schemes (including unsanctioned cryptocurrency offerings), gambling without appropriate licensing, or the sale of prohibited substances.

3.3. RED PRESS WIRE LTD reserves the unilateral right to reject, modify, or unilaterally delete any submission that, in our sole determination, violates these content standards. Rejection on the grounds of policy violation does not establish grounds for a refund.

4. Payment Processing & Financial Compliance

4.1. Merchant of Record: RED PRESS WIRE LTD acts as the merchant of record for all transactions executed via the Site. All billing and financial clearing are processed securely under our corporate identity.

4.2. Payment Gateways: We utilize industry-standard, PCI-DSS compliant third-party payment processors (including Stripe). By submitting payment details, you warrant that you are legally authorized to utilize the specified instrument.

4.3. Taxes & Duties: Prices advertised are exclusive of Value Added Tax (VAT) or other applicable sales taxes, unless explicitly stated otherwise. Where legally required under UK legislation or the laws of your jurisdiction, applicable taxes will be added to your final invoice.

4.4. Fees Are Non-Refundable: All fees — including distribution packages, writing packages, premium placements, country-targeted campaigns and every add-on — are due in advance and are final and non-refundable once the order is submitted, in whole or in part. We do not issue pro-rata or partial refunds based on the number of placements achieved, the identity of the outlets that published, indexing outcomes, traffic, or any other performance measure. This provision applies whether you contract as a consumer or as a business, subject only to the express-performance acknowledgment recorded at checkout.

4.5. Service Credits: Where a material distribution failure occurs and we are unable to remediate it within a reasonable period, your sole and exclusive remedy is a re-run of the distribution or a service credit toward a future order, granted at our reasonable discretion. Service credits are not convertible into cash, not transferable, and not withdrawable. Full conditions are set out in the Refund & Cancellation Policy.

4.6. Disputes & Chargebacks: We require clients to resolve any billing inquiry directly with our support team prior to initiating a formal bank dispute. Filing a chargeback without first contacting support is a material breach of these Terms and results in immediate account suspension, cancellation of pending orders and forfeiture of any service credits. In the event of an unjustified, fraudulent, or unrecognized chargeback claim, RED PRESS WIRE LTD will immediately submit definitive evidence to Stripe and the issuing bank to resolve the dispute in our favor. This evidence strictly includes checkout IP logs, timestamped Terms of Service consent, your express request for immediate performance, publication proofs, and system delivery proofs reflecting the active "Scheduled" or "Distributing" statuses. We further reserve the right to recover the disputed amount, processor dispute fees and reasonable recovery costs as a debt.

4.7. White Label Partners: Reseller and white label partner accounts are governed instead by the White Label Partner Terms of Service and the White Label Refund Policy, which take precedence over these Terms for all partner account activity.

5. Limitation of Liability & Indemnity

5.1. To the maximum extent permitted by English law, RED PRESS WIRE LTD, its directors, employees, and media partners exclude all liability for any indirect, consequential, special, or punitive damages, including loss of profits, revenue, data, or business interruption, arising out of or in connection with the use of our services.

5.2. You agree to defend, indemnify, and hold harmless RED PRESS WIRE LTD from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms of Service or the content of the press releases you submit for distribution.

6. Governing Law & Jurisdiction

6.1. These Terms of Service, their subject matter, and their formation (and any non-contractual disputes or claims) are governed explicitly by the Laws of England and Wales.

6.2. You and we both agree that the exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement shall reside within the Courts of England and Wales.

7. Language Policy & Technical Compatibility

7.1. Language Requirement: To ensure seamless integration and compliance with our global distribution network, all press releases submitted via our platform must be written and distributed exclusively in English.

7.2. Technical Compliance: This requirement is dictated by the technical specifications and editorial standards of our Tier-1 media partners (including but not limited to Yahoo Finance, MSN, and Associated Press). We do not provide localized distribution in non-English languages unless explicitly stated in a separate custom agreement.

7.3. Submission Rejection: Any content submitted in a language other than English will be flagged during the editorial review process. Clients will be required to provide an English translation to proceed. Delays caused by non-English submissions are the sole responsibility of the Client and do not constitute grounds for a refund.
